LICENSE AGREEMENT
TMI PROPERTIES, related documentation, and all intellectual property rights embodied within or derived from them are copyrighted works of authorship or proprietary materials exclusively owned by TeachMe Interactive (“TEACHME INTERACTIVE”). TeachMe Interactive retains all ownership rights. This license is not a sale of the original TMI PROPERTIES or any copies. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, rent, lease, loan, sell, distribute, mirror, frame, or transmit any of the material on the TMI PROPERTIES, except as follows: (i) You may store files that are automatically cached by your Web browser for display enhancement purposes; (ii) if we provide desktop, mobile or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by an applicable end user license agreement for such applications; and (iii) if we provide social media features at any time, you may take such actions as are enabled by such features. (iv) You must not modify, decompile, or reverse engineer any software TeachMe Interactive discloses to You, and You must not remove or modify any copyright or trademark notice, or other notice of ownership.
"TeachMe Interactive Trademarks" means all names, marks, brands, logos, designs, trade dress, slogans and other designations TeachMe Interactive uses in connection with its products and services. You agree to comply with the TeachMe Interactive Trademark and Logo Usage Requirements. You may not remove or alter any TeachMe Interactive Trademarks, or co-brand your own products or material with TeachMe Interactive Trademarks, without TeachMe Interactive's prior written consent. You acknowledge TeachMe Interactive's rights in TeachMe Interactive Trademarks and agree that any use of TeachMe Interactive Trademarks by You shall inure to TeachMe Interactive's sole benefit. You agree not to incorporate any TeachMe Interactive Trademarks into Your trademarks, service marks, company names, Internet addresses, domain names, or any other similar designations, for use on or in connection with computer or Internet-related products, services or technologies. The Company name, the Company logo, and all related names, logos, product and service names, designs and slogans, are trademarks of the Company or its affiliates or licensors. You may not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs and slogans on the TMI PROPERTIES are the trademarks of their respective owners.
Unless explicitly stated herein, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by estoppel, implication, or otherwise. You may not: (i) use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text; or (ii) delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from the TMI PROPERTIES; or (iii) access or use for any commercial purposes any part of the TMI PROPERTIES or any services or materials available through the TMI PROPERTIES.

YOUR OBLIGATIONS AND CONDUCT

You agree not to upload, post or otherwise transmit via the TMI PROPERTIES Content that: (a) is inaccurate, harmful, obscene, pornographic, defamatory, racist, violent, offensive, harassing, or otherwise objectionable to TeachMe Interactive or other users of the TMI PROPERTIES; (b) includes unauthorized disclosure of personal information; (c) violates or infringes anyone's intellectual property rights; or (d) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. TeachMe Interactive reserves the right to edit or remove Content that violates these Terms or that contains third-party commercial advertisements.
You agree that You will not use the TMI PROPERTIES to: (a) transmit spam, bulk or unsolicited communications; (b) pretend to be TeachMe Interactive or someone else, or spoof TeachMe Interactive's or someone else's identity; (c) forge headers or otherwise manipulate identifiers (including URLs) in order to disguise the origin of any Content transmitted through the Services; (d) misrepresent your affiliation with a person or entity; (e) disrupt the normal flow of dialogue or otherwise act in a manner that negatively affects other users' ability to use the TMI PROPERTIES; (f) engage in activities that would violate any fiduciary relationship, any applicable local, state, national or international law, or any regulations having the force of law, including but not limited to attempting to compromise the security of any networked account or site, operating an illegal lottery or gambling operation, stalking, or making threats of harm; or (g) collect or store personal data about other users unless specifically authorized by such users.
NO TRANSFER
The TMI PROPERTIES are licensed only to the person who has registered to use it and not to others. If you transfer a copy of the TMI PROPERTIES (or any portion thereof) to another party, your license is automatically terminated. You may not rent, lend, lease, sub-license, sell, assign, pledge, or otherwise transfer the TMI PROPERTIES (or any portion thereof), on a temporary or a permanent basis, without the prior written consent of TeachMe Interactive; but TeachMe Interactive may freely assign this Agreement.
INDEMNITY
You agree to indemnify and hold TeachMe Interactive and its subsidiaries, affiliates, shareholders, officers, directors, agents, licensors, suppliers, alliance members, other partners, employees and representatives harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Your Content, Your use of or connection to the TMI PROPERTIES (including any use by You on behalf of Your employer), Your violation of the Terms, or Your violation of any rights of another.
DISCLAIMER OF WARRANTIES
YOUR USE OF THE TMI PROPERTIES IS AT YOUR SOLE RISK UNLESS OTHERWISE EXPLICITLY STATED. THE TMI PROPERTIES, INCLUDING THE INFORMATION, SERVICES AND CONTENT IS PROVIDED ON AN "AS IS" "AS AVAILABLE" AND "WITH ALL FAULTS" BASIS. TEACHME INTERACTIVE DISCLAIMS ALL EXPRESS OR IMPLIED CONDITIONS, REPRESENTATIONS, AND WARRANTIES OF ANY KIND, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TEACHME INTERACTIVE MAKES NO REPRESENTATIONS, WARRANTIES, CONDITIONS OR GUARANTEES AS TO THE USEFULNESS QUALITY, SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF THE TMI PROPERTIES.
TEACHME INTERACTIVE MAKES NO WARRANTY OR REPRESENTATION THAT: (a) THE TMI PROPERTIES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (b) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE TMI PROPERTIES WILL BE ACCURATE OR RELIABLE; (c) THE QUALITY OF ANY PRODUCTS, SERVICES, CONTENT, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED FROM THE TMI PROPERTIES WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS; OR (d) ANY ERRORS IN THE TMI PROPERTIES WILL BE CORRECTED. YOU ASSUME ALL RISK FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM OBTAINING ANY CONTENT FROM THE TMI PROPERTIES, INCLUDING ANY DAMAGES RESULTING FROM COMPUTER VIRUSES.
LIMITATION OF LIABILITY
TO THE FULL EXTENT PERMITTED BY LAW, TEACHME INTERACTIVE IS NOT LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF BUSINESS, REVENUE, PROFITS, GOODWILL, USE, DATA, ELECTRONICALLY TRANSMITTED ORDERS, OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF OR IN CONNECTION WITH THE TMI PROPERTIES, EVEN IF TEACHME INTERACTIVE HAS PREVIOUSLY BEEN ADVISED OF, OR REASONABLY COULD HAVE FORESEEN, THE POSSIBILITY OF SUCH DAMAGES, HOWEVER THEY ARISE, WHETHER IN BREACH OF CONTRACT OR IN TORT (INCLUDING NEGLIGENCE), INCLUDING WITHOUT LIMITATION DAMAGES DUE TO: (a) THE USE OF OR THE INABILITY TO USE THE TMI PROPERTIES; (b) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED, OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO, THROUGH OR FROM THE TMI PROPERTIES; (c) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE TMI PROPERTIES, INCLUDING WITHOUT LIMITATION UNAUTHORIZED ACCESS TO OR ALTERATION OF TRANSMISSIONS OR DATA, MALICIOUS OR CRIMINAL BEHAVIOR, OR FALSE OR FRAUDULENT TRANSACTIONS; OR (d) CONTENT OR INFORMATION YOU MAY DOWNLOAD, USE, MODIFY OR DISTRIBUTE.
TO THE EXTENT THAT ANY JURISDICTION DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF DIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, PORTIONS OF THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY.
WAIVER OF CLAIMS
FIREARMS CAN CAUSE INJURY OR DEATH TO THE USER AND TO OTHERS. TMI PROPERTIES encourages the safe and responsible ownership and use of firearms, and the courses offered on TMI PROPERTIES and the courses offered by TeachMe Interactive are designed to teach you proper use and handling of firearms. You agree and acknowledge that there are risks associated with firearms training, including but not limited to: risk of serious injury or death due to firearms discharge by me or another individual, exposure to loud noises, and exposure to noxious fumes and hazardous material. Despite the risks, you knowingly, voluntarily and intelligently choose to participate in this firearms training program.
FAILURE TO FOLLOW THE INSTRUCTIONS GIVEN BY TEACHME INTERACTIVE OR GIVEN IN THE ONLINE COURSES CAN RESULT IN SERIOUS INJURY OR DEATH. YOU AGREE THAT TEACHME INTERACTIVE WILL NOT BE LIABLE FOR ANY INJURY TO YOU OR TO ANY OTHER PERSON; AND TEACHME INTERACTIVE WILL NOT BE LIABLE TO YOU, TO YOUR HEIRS, OR TO ANY THIRD PARTY FOR ANY INJURY TO OR THE DEATH OF ANY PERSON RESULTING FROM YOUR OWNERSHIP OR USE OF A FIREARM. BY ACCEPTING THE TERMS OF THIS AGREEMENT YOU WAIVE ALL CLAIMS AGAINST TEACHME INTERACTIVE AND ALL PERSONS ASSOCIATED WITH TEACHME INTERACTIVE. YOUR WAIVER OF ANY CLAIM FOR INJURY OR DEATH RESULTING FROM THE OWNERSHIP OR USE OF A FIREARM IS BINDING ON YOU AND YOUR HEIRS.

ARBITRATION AGREEMENT
The Parties agree that in any dispute, claim or controversy arising out of or relating in any way to the TeachMe Interactive service and/or TMI PROPERTIES these Terms of Use and this Arbitration Agreement, shall be determined by binding arbitration instead of in courts of general jurisdiction. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. You agree that, by agreeing to these Terms of Use, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and TeachMe Interactive are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of this Agreement and the termination of your TeachMe Interactive subscription. If you elect to seek arbitration, you must first send to TeachMe Interactive, by certified mail, a written Notice of your claim ("Notice"). If TeachMe Interactive elects to seek arbitration, it will send, by certified mail, a written Notice to the address used for your account. A Notice, whether sent by you or by TeachMe Interactive, must (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought ("Demand"). If TeachMe Interactive and you do not reach an agreement to resolve the claim within 30 days after the Notice is received, you or TeachMe Interactive may commence an arbitration proceeding or file a claim in small claims court. During the arbitration, the amount of any settlement offer made by TeachMe Interactive or you shall not be disclosed to the arbitrator. You may download or copy a form Notice and a form to initiate arbitration at www.adr.org. If you are required to pay a filing fee, after TeachMe Interactive receives notice at the Notice Address that you have commenced arbitration, it will promptly reimburse you for your payment of the filing fee, unless your claim is for greater than US$10,000. The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, "AAA Rules") of the American Arbitration Association ("AAA"), as modified by this Agreement, and will be administered by the AAA. The AAA Rules and Forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by writing to the Notice Address. The arbitrator is bound by the terms of this Agreement. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of this arbitration agreement. Unless TeachMe Interactive and you agree otherwise, any arbitration hearings will take place in the county (or parish) of your billing address. (If you reside outside of the United States, any arbitration hearings will take place in your country of residence at a location reasonably convenient to you, but will remain subject to the AAA Rules including the AAA rules regarding the selection of an arbitrator). If your claim is for US$10,000 or less, we agree that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds US$10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. If the arbitrator issues you an award that is greater than the value of TeachMe Interactive’s last written settlement offer made before an arbitrator was selected (or if TeachMe Interactive did not make a settlement offer before an arbitrator was selected), then TeachMe Interactive will pay you the amount of the award or the total of the last year’s subscription fees, whichever is the lower amount. Except as expressly set forth herein, the payment of all filing, administration and arbitrator fees will be governed by the AAA Rules. YOU AND TEACHME INTERACTIVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and TeachMe Interactive agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. If this specific provision is found to be unenforceable, then the entirety of this arbitration provision shall be null and void. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IF YOU OR WE WANT TO ASSERT A DISPUTE AGAINST THE OTHER, THEN YOU OR WE MUST COMMENCE IT WITHIN ONE (1) YEAR AFTER THE DISPUTE ARISES OR IT WILL BE FOREVER BARRED.
TEACHME INTERACTIVE PRIVACY POLICY
You consent to the collection, processing and storage by TeachMe Interactive of Your personal information in accordance with the terms of TeachMe Interactive's Privacy Policy. You agree to comply with all applicable laws and regulations, and the terms of TeachMe Interactive's Privacy Policy, with respect to any access, use and/or submission by You of any personal information in connection with TMI PROPERTIES.
GENERAL TERMS
The Terms constitute the entire agreement between You and TeachMe Interactive relating to their subject matter, and cancel and supersede any prior versions of the Terms. No modification to the Terms will be binding, unless in writing and signed by an authorized TeachMe Interactive representative. You must not assign or otherwise transfer the Terms or any right granted hereunder. You also may be subject to additional terms and conditions that may apply when You use TeachMe Interactive or third-party products or services.
U.S. law governs any action related to the Terms and/or Your use of the TMI PROPERTIES. Choice of law rules of any jurisdiction and the United Nations Convention on Contracts for the International Sale of Goods will not apply to any dispute under the Terms. You and TeachMe Interactive agree to submit to the personal and exclusive jurisdiction of the courts located within the U.S.
Rights and obligations under the Terms which by their nature should survive will remain in full effect after termination or expiration of the Terms.
Any express waiver or failure to exercise promptly any right under the Terms will not create a continuing waiver or any expectation of non-enforcement. If any provision of the Terms is held invalid by any law or regulation of any government, or by any court or arbitrator, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of the Terms will remain in full force and effect.
Any claim relating to the TMI PROPERTIES shall be governed by the laws of California without regard to its conflict of law provisions.
COMPLETE UNDERSTANDING
This Policy, together with the documents expressly referred to herein, constitutes the sole and entire agreement between you and the Company with respect to the TMI PROPERTIES and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the TMI PROPERTIES.
